Terms and Conditions of Use

1. Acceptance of Terms

By joining and participating in the Club Board Slack community (the “Community”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you must not access or use the Community. Your continued participation constitutes acceptance of any updates to these Terms.

2. About the Community

The Community is a private Slack workspace operated by Switchyards (“we,” “us,” or “our”). Membership is granted at our sole discretion and may be revoked at any time in accordance with these Terms.

3. Member Conduct and Community Guidelines

3.1 Acceptable Use

Members are expected to engage respectfully and constructively. You agree not to:

Post content that is unlawful, defamatory, harassing, abusive, threatening, discriminatory, or otherwise harmful to any individual or group.

Share spam, unsolicited promotional material, or any content unrelated to the purpose of the Community.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Share confidential, proprietary, or private information belonging to third parties without authorisation.

Engage in any conduct that could damage the reputation of the Community or its members.

Attempt to gain unauthorised access to any part of the Slack workspace or any connected systems.

3.2 Member Responsibility

You are solely responsible for all content you post, share, or transmit within the Community. We do not pre-screen member content and are not responsible for reviewing or moderating all messages in real time.

4. Limitation of Liability

4.1 No Liability for Member Content

To the fullest extent permitted by applicable law, Club Board and its administrators, moderators, employees, and representatives shall not be liable for any content posted, shared, or transmitted by members of the Community. This includes, but is not limited to:

Statements, opinions, or advice shared by other members.

Any errors, omissions, or inaccuracies in member-generated content.

Any harm, loss, or damage arising from reliance on member content.

Any disputes, conflicts, or disagreements that arise between members.

4.2 No Liability for Third-Party Links or Content

The Community may contain links to third-party websites or resources shared by members. We do not endorse and are not responsible or liable for any third-party content, products, or services.

4.3 Disclaimer of Warranties

The Community is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied. We do not guarantee the accuracy, completeness, or usefulness of any content within the Community.

4.4 Limitation of Damages

In no event shall Club Board or its representatives be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Community.

5. Moderation and Removal

5.1 Our Right to Remove Members

We reserve the right, at our sole and absolute discretion, to remove, suspend, or restrict any member from the Community at any time, with or without notice, and for any reason, including but not limited to:

Breach of these Terms or our Community Guidelines.

Conduct that we reasonably consider harmful, disruptive, or contrary to the interests of the Community.

Behavior that we determine, in our sole judgement, to be inappropriate or unwelcome.

Any other reason we deem sufficient to protect the Community and its members.

5.2 No Obligation to Provide Reasons

We are under no obligation to provide reasons for the removal or suspension of any member. Removal decisions are final and we do not guarantee a right of appeal, though we may choose to engage with a removed member at our discretion.

5.3 Content Removal

We reserve the right to remove, edit, or restrict access to any content posted within the Community that we determine, in our sole discretion, to be in violation of these Terms or otherwise inappropriate.

6. Indemnification

You agree to indemnify, defend, and hold harmless Club Board and its administrators, moderators, employees, and representatives from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Community; (b) your violation of these Terms; or (c) your violation of any rights of another person or entity.

7. Privacy

By participating in the Community, you acknowledge that messages and content shared within the workspace may be visible to other members, administrators, and moderators. Do not share sensitive personal information within the Community. Our handling of any personal data collected in connection with the Community is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

By posting content in the Community, you confirm that you have the right to share such content and you grant Club Board a non-exclusive, royalty-free licence to use, store, and display that content solely for the purposes of operating the Community. You retain ownership of your own content.

9. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will endeavour to notify members of material changes, but it is your responsibility to review these Terms periodically. Continued participation in the Community following any changes constitutes your acceptance of the revised Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts of Georgia.
